PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS APPLICATION (APP). THESE TERMS OF USE (THE "TERMS OF USE") GOVERN YOUR ACCESS TO AND USE OF THE APP. THE APP IS AVAILABLE FOR YOUR USE ONLY ON THE CONDITION THAT YOU AGREE TO THE TERMS OF USE SET FORTH BELOW. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF USE, DO NOT ACCESS OR USE THE APP. BY ACCESSING OR USING THE APP, YOU AND THE ENTITY YOU ARE AUTHORIZED TO REPRESENT ("YOU" OR "YOUR") SIGNIFY YOUR AGREEMENT TO BE BOUND BY THE TERMS OF USE.

THIS IS A LEGALLY BINDING CONTRACT BETWEEN YOU THE BUYER OF THE GOODS", MANAK WASTE MANAGEMENT PVT LTD. ("CASHIFY"), AND SELLERS OF USED GOODS. CASHIFY ACTS AS A PLATFORM TO ALLOW SELLERS WHO COMPLY WITH THEIR POLICIES TO SELL CERTAIN GOODS. YOU CONDUCT YOUR ACTUAL PURCHASE AND OTHER TRANSACTIONS DIRECTLY WITH THE SELLER AND, UNLESS OTHERWISE SPECIFICALLY AND CLEARLY INDICATED, NOT WITH CASHIFY. AS A RESULT, CASHIFY CANNOT CONTROL ANY ASPECT OF YOUR PURCHASE AND TRANSACTIONS WITH SELLERS, AND SELLERS ARE SOLELY RESPONSIBLE TO YOU FOR ALL ASPECTS OF YOUR PURCHASE AND TRANSACTIONS WITH THEM AND CONSEQUENTLY CASHIFY WILL HAVE NO LIABILITIES TOWARDS THE SELLERS OR BUYERS IN THIS REGARD. IN DOCUMENT BELOW "WE", "OUR", "US" IS USED FOR CASHIFY AND CASHIFY’S THIRD PARTY BUYER COLLECTIVELY.

DEFINITIONS AND INTERPRETATION

For the purpose of this agreement, unless the context otherwise requires, the following words and expression shall have the meaning assigned to them as follows:

Lead Partner is any registered Cashify Partner, who has accepted to fulfill the Customer request of selling his/her old device on the basis of the information on the Partner APP.

Lead is a confirmed intent of the customer to sell his/her old device post the acceptance of the indicative price quoted by Cashify.

Partner APP is an application hosted on a mobile, enabling the Partner to be able to view, accept and complete fulfillment requests shared by Cashify within the geographical region/ service area assigned to the respective Partner.

Customer is any entity/ Individual or establishment that has requested liquidation/sale of their used device or gadget through Cashify.

Re-quote is a process through which the Customer and the Partner are in mutual agreement as to the inaccuracy of the initial Quote provided to the customer and agree to Re-evaluate the device value.

TERMS & CONDITIONS
  1. Lead Partner has to communicate with the customer as Cashify Partner Only.
  2. Lead Partner has to Buy Gadget by going at the Customer's address only. In any circumstances or condition, the Lead Partner will never ask the customer to come to his place or halfway or to meet at any other location. Please don’t agree to visit a hotel or guesthouse. Only do pickup from Home or Office address.
  3. Cashify shall recommend the price payable by the Lead Partner to the Customer if all conditions match.
  4. If all Conditions Do Not Match, the Lead Partner has to do Re-quote at Partner APP and in front of the customer only. Pursuant to the Re-quote being done of the Partner APP, Cashify shall recommend the price payable by the Lead Partner to the Customer.
  5. If a Lead gets Failed due to Condition Mis-match, or unavailability of customer or unwillingness of the customer, Lead Partner has to update the status on Partner APP with the correct/true reason. Refund as per T&C will be approved based on the circumstances and only after Cashify takes feedback from the customer. Refunds will be granted only in the cases where the lead fails due to No-fault of the Lead Partner and solely because of customers’ unwillingness. Refund cases will be resolved by appropriate investigation and decision by the Relationship Manager and would be binding. All communication with your Relationship Manager should be over email.
  6. In any case or condition or circumstances, Lead Partner will not Re-quote the price on the phone until and unless he has visited Customer’s Place i.e. given home or office address. Any Lead Partner trying to negotiate the price on the phone without checking the Gadget at the Customer’s place will be issued a Warning. On a second warning, the Lead Partner Agreement will be terminated with immediate effect.
  7. Lead Partner has to collect from the Customer and upload on Partner APP proper documents i.e. ID proof, an original bill (if available), and other pertinent documents. If Lead Partner forgets or does not take and upload any of these above-mentioned documents Cashify will not be liable.
  8. Once a Partner accepts a Lead, Lead Partner is required to call the customer within the next 1 hour and schedule a visit to his/her address at an agreed time to complete the transaction. If any Lead Partner is found to be accepting leads and then not communicating with the customer or not going for pick up or repeatedly re-scheduling the pick up will be given a Warning. Moreover if any lead fails due to Lead Partner’s inaction or No Communications after Accepting lead, NO REFUND WILL BE APPROVED. FULL LEAD AMOUNT WILL BE CHARGED FOR THAT.
  9. If any Partner is getting any other gadgets from the customer other than the scheduled gadget, Partner needs to inform Cashify and a fresh lead for the same will be pushed on application. In failure of above his contract will be terminated immediately.
    • In Mobile Category - If the mobile is listed on website then Cashify will charge for it otherwise there would be no charge. In case partner is accepting a mobile which is Not Listed on Cashify, then partner has to inform Cashify by sending an email to Relationship Manager.
    • In Laptop, Desktop and TV (LED and LCD) Category- whether the model is listed on Cashify or not a fresh lead will be pushed on application and Cashify will charge as per T&C.
  10. No Lead Partner will communicate his company/shop details to the Customer. Lead Partner has no authorization to give any marketing material to customer. If Cashify finds or is notified of any violation, the Contract will be terminated immediately. Lead Partner name is provided on the Purchase Receipt given to customer after Lead Partner completes the Lead on App.
Cashify LEAD PARTNER: PROCESS

The process of lead sharing will be as follows:

  1. Customer takes a quote of his electronic gadget on www.cashify.in or one of its affiliates’ and shows his/her intent of selling at indicative price quoted by Cashify.
  2. Cashify Support team confirms with customer his intent of selling.
  3. Cashify shares the details of the gadget, its conditions and buying price at which Cashify recommends the gadget be purchased, on Partner APP.
  4. A Partner has the right to accept or not to accept the lead on the Partner APP.
  5. If Partner accepts the lead, complete details of the customer with address, mobile number and email id will be passed on to the Partner.
  6. Lead Partner will have to complete the as per the original pick up time mentioned by the customer.
  7. Cashify will charge the Lead Partner per lead accepted.
The responsibilities of the Cashify Partner will be as under:

At different time intervals, Cashify will add new mode of payment to Customer. Lead Partner needs to adhere to those payment modes. All the expenses related to those modes of payment will be borne by Lead Partner.

For any queries or issues a Lead Partner can speak to the respective Relationship Manager from 9.30 AM to 7.00 PM available from Monday to Saturday.

App Terms & Conditions

1. Cashify Partner App is a Recommerce marketplace venue

Cashify partner App is a platform to allow registered buyers, subject to compliance with Cashify's policies, to buy certain goods. Cashify will not be directly involved in the transaction between Seller(s) and partners(s), ensuing no control by reasons whatsoever in any aspect of your transactions with Sellers, and the Sellers are solely responsible to you for all aspects of your transactions with them.

2. Permitted Use and Compliance with Laws.

Cashify authorizes you to access, view and use the App content and software (collectively, the "Cashify Property") solely to the extent necessary for you to use the Services. You may not remove any copyright, trademark or other proprietary notices that have been placed on the Cashify Property. You may not engage in systematic retrieval of data or other content from the Cashify Property. Except as expressly permitted by these Terms & Conditions, any modification, reproduction, redistribution, republication, uploading, posting, transmitting, distributing or otherwise exploiting in any way the Cashify Property, or any portion of the Cashify Property, is strictly prohibited without the prior written permission of Cashify.

You agree that you will comply with all applicable laws, regulations and ordinances relating to the App and Services, the Cashify Property or your use of them, and that in using the App and Services you will not engage in any conduct that restricts or inhibits any other person from using or enjoying the Services.

3. Copyright and trademarks.

Except as otherwise indicated, all materials in the App, including, but not limited to text, software, photos, video, graphics, music, sound, the Cashify logo, ReGlobe Logo and other Cashify and ReGlobe trademarks and service marks and the entire contents of the App are the property of Manak Waste Management Pvt Ltd and/or its affiliates or licensors, including the Third Parties, and are protected by international/Indian copyright and trademark laws, all rights reserved. Any violation of these restrictions may result in a copyright, trademark, or other intellectual property right infringement that may subject you to civil and/or criminal penalties.

Other marks on the App not owned by Cashify may be under license from the trademark owner thereof, in which case such license is for the exclusive benefit and use of Cashify unless otherwise stated, or may be the property of their respective owners. You may not use Cashify's name, logos, trademarks or brands, or trademarks or brands of others on the App without Cashify's express permission.

4. Privacy and Passwords

Cashify values and protects the privacy of your information. Please review the Cashify Privacy Policy, as it contains important information relating to your use of the App and Services. Some portions of the App are protected and require a user identification code ("User ID") and password for access. Unauthorized access or use of such portions of the App is prohibited. You agree that you will notify Cashify immediately if you believe that a third party has obtained your User ID or password, or if you believe that any unauthorized access or use may occur or has occurred. For your protection, if Cashify believes that any unauthorized access may occur or has occurred, Cashify may terminate access without prior notice to you. You also agree that Cashify is permitted to act upon any instructions received such instructions as authorized by you.

5. Membership.

a. Registration and Basic Membership Terms: Members are visitors to the App and or those using the Services that choose to register with Cashify ("Members"). Once registered, an account is created for each Member ("Account"). If you choose to register as a Member, you represent and warrant to us that:

(i) you are of legal age to form a binding contract; (ii) you will provide us with accurate, current and complete registration and contact information, and keep your information updated; and (iii) your registration and your use of the Services are not prohibited by law. We reserve the right to suspend or terminate your Membership, or your access to the App and or Services, in the event that you breach any of the Terms & Conditions or other applicable Cashify policies.

b. Password and Account Security: In connection with your Account, you will create a Password and a User ID. You are responsible for keeping your Password and secure, and you are responsible for all actions taken using your Password.

c. Age: To create an Account or to otherwise use this WebApp, you must be at least eighteen (18) years old or the age of majority in your state or province of residence, whichever is greater.

6. Inactive Accounts.

a. Inactive Status: A Member's Account may be set to inactive if there is no activity associated with that Account for 180 days.

7. Warranty Exclusions and Limitations of Liability.

We warrant that the Services and Cashify Property will conform substantially to the descriptions set forth on the App. In the event of any breach of this warranty, the Customer's sole and exclusive remedy, and Cashify's sole and exclusive liability, shall be (at Cashify's option) to remedy the failure or to refund the monetary amount paid for the services by the Customer, if any. Except as set forth in the foregoing sentence, we make no representations or warranties of any kind regarding the Services or the Cashify Property. WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING: ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, AND ANY AND ALL WARRANTIES ARISING FROM COURSE OF DEALING AND USAGE OF TRADE; THAT THE SERVICES AND Cashify PROPERTY WILL MEET YOUR REQUIREMENTS, WILL ALWAYS BE AVAILABLE, ACCESSIBLE, UNINTERRUPTED, TIMELY, SECURE OR OPERATE WITHOUT ERROR, AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE OPERATION, USE OR OTHER EXPLOITATION OF THE SERVICES OR Cashify PROPERTY, AND AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED FROM THE SERVICES OR THE Cashify PROPERTY. No advice or information, whether oral or written, obtained not expressly stated herein. UNDER NO CIRCUMSTANCES WILL YOU BE ENTITLED TO RECOVER FROM US ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT, PUNITIVE OR SPECIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS OR LOSS OF USE), WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE ARISING FROM OR RELATING TO THE SERVICES OR Cashify PROPERTY, EVEN IF Cashify HAS BEEN INFORMED OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY EVENT, Cashify'S MAXIMUM AGGREGATE LIABILITY FOR ANY AND ALL DAMAGES ARISING FROM THE SERVICES OR THE Cashify PROPERTY SHALL BE A REFUND OF THE AMOUNT PAID BY YOU TO US, IF ANY. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF WARRANTIES OR OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

8. Indemnity.

Customer agrees to indemnify and hold Cashify, our affiliates, suppliers, licensors and partners, and the officers, directors, employees, agents and representatives of each of them harmless, including costs, liabilities and legal fees, from any claim or demand made by any third party due to or arising out of (i) your access to or use of Services, (ii) your violation of these Terms & Conditions, or (iii) the inf ringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. Cashify reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Cashify. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

9. Applicable Law, Jurisdiction, Compliance.

You and Cashify agree that all matters arising from or relating to the use and operation of the App and/or the Services will be governed by the substantive laws of Republic of India, without regard to its conflicts of laws principles. You agree that all claims you may have arising from or relating to the operation, use or other exploitation of the App and/or the Services will be heard and resolved in the courts located in New Delhi. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts.

10. Miscellaneous Provisions.

No delay or omission by us in exercising any of our rights occurring upon any noncompliance or default by you with respect to any of these Terms & Conditions will impair any such right or be construed to be a waiver thereof, and a waiver by us of any of the covenants, conditions or agreements to be performed by you will not be construed to be a waiver of any succeeding breach thereof or of any other covenant, condition or agreement hereof contained. As used in these Terms & Conditions, "including" means "including but not limited to." If any provision of these Terms & Conditions is found by a court of competent jurisdiction to be invalid or unenforceable, then these Terms & Conditions will remain in full force and effect and will be reformed to be valid and enforceable while reflecting the intent of the parties to the greatest extent permitted by law. Except as otherwise expressly provided herein, these Terms & Conditions set forth the entire agreement between you and Cashify regarding its subject matter, and supersedes all prior promises, agreements or representations, whether written or oral, regarding such subject matter.
